Overview

Tamara advises onshore law firms, banks and other financial institutions on the BVI aspects of finance transactions. She regularly advises in relation to syndicated finance, assets finance, bond and note issuances, project finance and property finance transactions. Tamara has worked on a number of high profile finance transactions and has a good working knowledge of property and project finance transactions in Asia and Europe.

Experience 

Tamara has been practicing BVI law for the past seven years. She previously worked in the corporate teams at two other well established firms in the BVI. In 2016 Tamara was seconded to New York and worked alongside the corporate team of a New York city based law firm, Patterson Belknap Webb & Tyler LLP where she gained experience in private equity and M&A transactions.

Tamara is also a Notary Public and a Commissioner for Oaths for the BVI Tamara was admitted in the BVI in 2014 and admitted in England and Wales in 2013 (not practising).

Acquisition Finance

Advising on acquisition finance is a key part of our services when acting on M&A transactions. We work with our corporate teams to provide solutions which may include conventional loans, leveraging the target, accessing capital markets, or typically, a combination. We act for lenders, corporates and corporate advisors.

Asset Finance

We provide our expertise in the area of asset finance to assist some of our clients in their business requirements. We have worked with lenders in funding acquisition of aircraft and other specialist assets. We also advise and support our finance leasing clients with their customer documentation and security requirements.

Business Relocation including Migrations and Continuations

An increasing number of business leaders are looking to relocate their business and and indeed lives offshore. Our pan-departmental relocation's team has the knowledge and experience to assist in all aspects of such a move and welcome you to our islands. We are well placed to advise on, and project manage such a relocation and can advise on: company migrations and continuations, regulatory approvals, housing licences and real estate matters through to introductions to other service providers and complementary local businesses.

Commercial Structuring & Contracts

Offshore vehicles are used for a huge range of purposes either standing alone or as part of large multi-jurisdictional structures. Our highly commercial team specialises in advising clients on the most effective uses of such vehicles and their on-going operation, including normal and cellular companies as well as foundations, unit trusts, limited partnerships and limited liability partnerships. Our experienced team also provides commercial contracts for clients whether bespoke documents to effect specific transactions or suites of precedent documents for company service providers or offshore groups.

Probate & Estate Administration

When executors, family or friends of a deceased need to get access to assets held by their loved one, they may be asked to produce a document commonly referred to as a 'grant of probate'. A grant of probate means that an individual is given the right, by the relevant court, to deal with a deceased's estate. The deceased may have left a will or may have died intestate (without a will). It might be the case that probate has already been obtained in another jurisdiction and that a separate grant of probate needs to be obtained in Guernsey or Jersey. This can be an unfamiliar and stressful process. At Collas Crill we have many years' experience in making these types of applications. We are able to assist in simply obtaining the grant of probate, can arrange release and payment of the Channel Island assets to the relevant person, or deal with the full administration of an estate depending on your requirements.

Our teams have been involved in some of the most innovative finance structures, including the first public-private finance initiative in Guernsey, a care home. We regularly advise housing associations on funding their projects. Internationally we work with clients on key infrastructure projects, including power stations and railway links.

We act for some of the key lenders in this area. Our clients include banks, funds, alternative lenders, private investors and family offices.
