Overview

Laura is as Associate in the Corporate, Finance and Funds team in Cayman. She assists clients in developing their business when it comes to transactions or projects involving investment funds, joint ventures and corporate acquisitions and disposals.

Laura regularly works with fund managers and investors advising on a variety of corporate and funds matters, including joint ventures, fund launches, reorganisations, and the day to day operation of a fund.

Experience

Before moving to Cayman, Laura was a Senior Associate at Gowling WLG practicing corporate funds law working with institutional investors in the pension, real estate and insurance sectors. Working with structures that involve offshore vehicles provided Laura with the skill set to join the practice at Collas Crill in the Corporate, Finance and Funds team.

Recent fund and corporate experience includes:

  • Formation of a $20 million offshore feeder fund structured as an exempted limited partnership and registered with the Cayman Islands Monetary Authority (CIMA) as a private fund with the master fund as a Delaware limited partnership. Laura's role involved the creation of the limited partnership agreement, advising on the subscription booklet from a Cayman perspective, drafting launch resolutions and preparing the private fund application to CIMA.
  • Advising several investors including a large sovereign wealth entity in relation to their investment in funds such a private equity, crypto and other digital assets by producing a red flag report with analysis of the fund documents – PPM, subscription document and proxies.
  • Lead corporate advisor on a £90m complex limited liability partnership arrangement between a council and registered social housing provider (RP) for a regeneration project in London. 

Recent governance experience includes:

  • Providing training to UK government departments on a newly created fund regarding its governance obligations.
  • Working with one of the largest pension funds in the UK (circa. £80 billion in assets under management) in respect of its trustee duties regarding the pension scheme's carbon footprint and its approach towards climate change and responsible investment strategies.
  • Regulatory advice in relation to Cayman Islands mutual funds and private funds, formation of investment advisor vehicles with registration under the Securities Investment Business Act, and day to day governance and economic substance advice relating to various Cayman Islands entities.

Background

Laura studied a degree in Law and Business Management at Keele University before undertaking the Legal Practice Course (LPC) at the University of Law. Following completion of the LPC, Laura trained at Irwin Mitchell Solicitors to obtain her qualification as a solicitor.

Laura qualified as a solicitor in England and Wales in 2016.

The duties of a trustee plays in managing the trust assets and dealing with beneficiaries not only vary from jurisdiction to jurisdiction, but are dictated by trust agreement and its nuances, the type of trust and its specific purpose. Advising on trustee duties is a rapidly growing area given the increasingly complex legal and regulatory framework to which trustees must adhere. Importantly, trustees are becoming increasingly aware of the advantages of acting early and seeking advice on their duties – particularly in situations of potential conflict or stress.
